Position Title: Of Counsel Attorney (Full-Time)

Position Duties: Provide legal services to clients
as a first-chair in the field of commercial asset and real estate-based Merger
and Acquisitions transactions. "First-Chair" means leading, managing,
and overseeing the transaction as the primary attorney. Lead, manage and
oversee all legal phases of these transactions, including negotiation,
due-diligence, pre-closing, and closing. Provide legal advice and expertise
regarding corporate law (including deal structuring, entity formation, and
business registration) and finance (including negotiating, preparing and
reviewing financing and collateral documents) to execute a client's objectives.
Delegate to and supervise support staff, paralegals, and junior attorneys as
appropriate. Other duties as assigned.

Position Qualifications: Juris Doctor (JD) degree
required. Must have passed the Hawaii state bar exam prior to first day of
work. Must have 180 months of progressive experience (15 years) as an attorney
working in commercial asset and real estate-based Mergers and Acquisitions.
This experience must culminate in first-chair experience on at least 3 to 5
substantial commercial (i.e., non-residential) asset and real estate-based
Merger and Acquisitions transactions, which may include shopping centers,
commercial properties, resort properties (such as hotels, condos, or golf
courses), and industrial properties. "Substantial" means that each
transaction must involve at least $10 million of assets.
