Real Estate


Represents individuals and business entities in the sale and purchase of residential, commercial and industrial real estate; deeds in lieu of foreclosure; creating and perfecting security interests in real property. Some specific examples include: representation of an affiliate of Lazard Freres in the divestiture of several agricultural operations; representation of foreign corporate and individual clients with respect to investments in U.S. real estate.

Antitrust (Hart-Scott-Rodino)


Analysis of proposed transactions to determine whether a pre-merger/pre-acquisition filing is required based on market share analysis. Preparation of the required report for filing with the Federal Trade Commission and Department of Justice.

Represents Canadian, French, Swiss and other foreign clients with respect to their U.S. holdings, including formation of U.S. entities, structuring of U.S. operations, and coordinating with foreign counsel.
