Terrence A. Everett


Terrence Everett is a Partner in our Los Angeles office. He concentrates his practice on a broad range of corporate and finance transactions, mergers and acquisitions, corporate governance, securities, gaming, hospitality and real estate. He has represented clients from NYSE companies to start up entities in connection with corporate structure and governance, acquisitions, operations and financing and acts as outside general counsel to various companies. Mr. Everett has extensive experience in complex international and cross border operations and transactions as well as equity, debt and venture capital financing for such. He has substantial expertise in real estate transactions.

Representative Matters



Negotiated tax advantaged $800 million sale agreement for foreign owner of major retail center involving an exchange of convertible securities of a NYSE REIT.

Corporate Structuring


Advised American Stock Exchange company in corporate structuring and acquisition of dissident shareholder block of stock by white knight and compliance with state takeover statutes. Structured international investment group for over a billion-dollar project investment.

Financial Institution

Represented trustees in connection with development of unique structure with securities offering for over $2 billion of membership units and $600 million of debt financing to accommodate termination and distribution of assets of dynastic trust to beneficiaries in cash and kind.

Bond Financing


Assisted in advising Lehman Brothers on restructuring $300 million+ of bond financing for Mexico infrastructure project.



Represented an affiliate of Lazard Freres in the marketing and divestiture of agricultural operations for $50 million.

Movie Studios


Represented entertainment conglomerate in the sale of motion picture and television production and distribution entertainment assets, including substantial film libraries.



Represented the Brunei Investment Agency in the acquisition of the Beverly Hills Hotel and other hospitality properties.



Represented clients in connection with the acquisition, financing and corporate structuring, operations and divestiture of casino and gaming assets, including casinos, racetracks and internet gaming operations. Managed bids for gaming licenses in Maryland, Massachusetts, Pennsylvania and Ohio. Holds a casino gaming license.

Represented a client in a fierce successful competition against Donald Trump and Trump Castle Associates for control of gaming sites on the Delaware River. Convinced the United States Environmental Protection Agency and City of Philadelphia to support client and propose plans for bankruptcy reorganization of project owner competing with Trump's plan to acquire and develop site.

Represent major hotel chain in connection with participation as lender, major shareholder in the development of a Nevada hotel and casino operation and public offering.
